Job Description:
We are looking for a qualified and experienced Corporate Finance Lawyer Specialist to join our legal team. The role focuses on providing legal support for financial and banking-related transactions, including corporate funding, project financing, mergers and acquisitions, and securities offerings. You will work closely with internal business units and external stakeholders to ensure regulatory compliance and effective legal risk management.
Key Responsibilities:
- Advise on legal matters related to corporate finance, banking project financing, capital raising, and investment structuring.
- Draft, review, and negotiate financial transaction documents including loan agreements, facility agreements, security documents, and investment contracts.
- Provide legal guidance on mergers, acquisitions, divestitures, and restructuring activities.
- Ensure all financial transactions comply with prevailing laws, including OJK, BI, and other regulatory bodies.
- Coordinate with law firms, financial institutions, and government agencies as needed.
- Monitor legal and regulatory developments in banking and corporate finance and assess their impact on the company.
- Deliver sound legal opinions and support due diligence processes.
Qualifications:
- Bachelors degree in Law from a reputable university.
- Licensed Advocate with PERADI certification (must).
- Minimum 10 years of professional legal experience, with at least 5 years in a leading law firm handling banking project financing and corporate finance transactions.
- Proven track record advising on complex financial deals, securities regulations, and M&A.
- Excellent drafting and negotiation skills, particularly in English-language documents.
- Fluent in English both verbal and written with experience handling cross-border transactions.
- Strong knowledge of Indonesian financial regulations and corporate law.
- Commercially minded, with strong problem-solving skills and attention to detail.
- Able to work independently and collaboratively with cross-functional teams.
