What you'll do and what success looks like in this role:

  • Ensure the company's compliance with applicable laws, regulations, and corporate standards.
  • Provide advice to senior management, the Board of Directors, and the Board of Commissioners regarding legal and regulatory compliance aspects as well as the development of appropriate internal policies.
  • Deliver comprehensive legal support and advice relevant to the company's operations, including reviewing and analyzing legal documents, agreements, processes, and other matters concerning corporate law and operations.
  • Develop policies, laws, and provide suggestions in strategic matters to support business objectives effectively.
  • Draft, negotiate, and document legal agreements (including credit agreements and cooperation agreements), and handle resulting legal issues.
  • Monitor regulatory updates and assess their impact on the company.
  • Provide training and guidance related to regulatory compliance, policies, and corporate governance implementation.
  • Prepare and distribute reports, presentation materials, and meeting documentation for the Board of Directors and Board of Commissioners.
  • Support coordination of reporting to relevant authorities.
  • Manage administrative matters related to meetings of the Board of Directors and Board of Commissioners, ensuring all legal documentation is complete and in compliance with applicable regulations.
  • Provide effective and integrated support and communication with shareholders, such as through the Annual General Meeting of Shareholders (AGMS).
  • Provide best practice guidance related to corporate governance and support the development of policies and the implementation of good governance practices.
  • Prepare legal reports, documentation, and presentations for senior management and stakeholders.

What Is Required and What We're Looking For

  • Minimum Bachelor's degree in Law from a reputable university.
  • At least 8 years of experience as an internal and/or external legal counsel, preferably in the banking/financial sector.
  • Experience in providing in-depth legal analysis of policies, documents, internal regulations, and banking regulations and capital markets regulations.
  • Strong managerial skills (preferred) in leading a team.
  • Excellent communication and negotiation skills.
  • Experience handling litigation and complex legal issues.
  • Ability to prepare and present relevant legal reports.
  • Ability to work under pressure and keep up with legal and regulatory developments in the financial services and banking industry.
