Job Description

Job Role:

  • The Senior Corporate Secretary serves as a strategic bridge between regulatory bodies, shareholders, investors, and the public.
  • This role ensures full compliance with OJK, IDX, and Indonesian Company Law regulations, while safeguarding the company's governance standards and supporting board-level operational excellence.
  • This position also contributes to investor communication, corporate disclosure, and governance frameworks amid the mining company group's rapidly expanding Indonesian operations

Specification & Requirements:

  • Mandatory has Professional fluency in Mandarin and English (both spoken and written), for communication with Group executives and foreign investors.
  • Bachelor's degree in Law, Finance, Accounting, or related fields.
  • Corporate Secretary certifications are highly preferable.
  • Minimum 5 years as Corporate Secretary in an IDX-listed company.
  • Strong familiarity with Indonesian Company Law, OJK & IDX rules, disclosure processes, and corporate actions (M&A, restructuring).
  • Experienced in an IDX-listed company under relevant industries, for d-level or c-level executives, or BoD/BoC
  • Excellent communication and organizational skills.
  • Strong integrity and ability to manage confidential information.
  • Able to work in high-pressure and fast-moving environments.

The Key Responsibilities:

Compliance & Disclosure

  • Ensure full compliance with OJK and IDX regulations, reporting timelines, and disclosure requirements.
  • Prepare and submit periodic and ad-hoc disclosure documents.
  • Maintain confidentiality and prevent insider-trading risks.

Board & Shareholder Management

  • Organize BoD/BoC meetings, prepare agendas, materials, and meeting minutes.
  • Manage AGMS/EGMS processes and all related statutory documentation.
  • Maintain statutory registers and corporate records.

Investor Relations and Communication

  • Act as the primary point of contact for shareholders, analysts, media, and market stakeholders.
  • Organize investor meetings, calls, and briefings.
  • Maintain a positive public and capital-market image.

Corporate Governance

  • Promote best practices in GCG compliance.
  • Manage GCG reporting and assist BoD/BoC with governance-related assessments and training.
