Job Description

Responsibilities

Contract & Commercial Legal Management

  • Draft, review, negotiate, and standardize:
  • Vendor & supplier agreements
  • Brand principal / distributor agreements
  • Service agreements & retainers
  • NDAs, MoUs, and commercial addenda
  • Develop contract templates and clause standards to reduce legal variance.
  • Identify legal risks in commercial terms and propose risk-balanced alternatives.

Employment & Labor Law Advisory

  • Provide legal guidance on:
  • PKWT, PKWTT, and Freelance contracts
  • Disciplinary actions & termination processes
  • Company regulations & policies
  • Partner with HR to ensure compliance with Indonesian labor regulations.
  • Review employment-related documentation to prevent disputes and misinterpretation.

Preventive Legal Risk Management

  • Act as an early-stage legal advisor before decisions are finalized.
  • Identify recurring legal risks across departments and propose mitigation frameworks.
  • Build a legal risk register and prioritize actions based on probability impact.

Compliance & Governance

  • Ensure company compliance with:
  • Applicable commercial & employment laws
  • Consumer protection & business regulations
  • Support internal governance by:
  • Reviewing internal SOPs, policies, and procedures
  • Ensuring legal consistency across departments
  • Assist founders and management with legal considerations in strategic decisions.

External Legal Counsel Coordination

  • Act as the primary liaison with external law firms or notaries when needed.
  • Prepare legal briefs, documentation, and context to ensure efficient external handling.
  • Control legal costs by ensuring external counsel is used only for specialized or escalated matters.

Requirements

  • Bachelor's degree in Law (S.H.)
  • Advocate license (PERADI) is preferred but not mandatory
  • Strong knowledge of Indonesian commercial law, Employment & labor regulations, and Contract law principles.
  • 36 years of experience in In-house legal, or Law firm handling corporate/commercial matters.
  • Experience handling contracts and employment-related legal matters independently.
  • Exposure to retail, distribution, FMCG, or multi-vendor business models is a plus.
  • Ability to translate legal risks into clear, business-friendly language
  • High level of autonomy and ownership (comfortable working as a solo contributor)
  • Strong judgment in balancing legal compliance and business practicality
  • Structured, detail-oriented, and risk-aware mindset
