About the Role

The Legal & Corporate Secretary Manager will oversee corporate legal drafting, licensing, governance, and corporate secretarial functions across multiple entities. This role requires strong attention to detail, excellent stakeholder management, and hands-on experience in corporate actions and transaction documents.

Key Responsibilities (Combined Legal & Corporate Secretary)

  • Draft, review, and manage all corporate legal documents and commercial contracts (customers, vendors, JV agreements, office leases, advisory letters), ensuring compliance with internal standards and Indonesian/Singapore regulations.
  • Oversee corporate governance for all entities, including preparing and coordinating statutory resolutions, shareholders meetings (RUPS/RUPSLB), Board approvals (DRIW/MRIW), and liaising with the Singapore-based corporate secretary.
  • Monitor and maintain all licenses and regulatory requirements to support business operations, including supporting project-based activities such as fundraising, corporate actions, and transaction document preparation.
  • Advise management and stakeholders on key legal clauses, corporate approvals, and compliance obligations, providing clear guidance to support business decision-making.
  • Lead and supervise the legal & corporate secretary team, ensuring quality of deliverables, maintaining clear workstreams, and coordinating with external parties such as law firms, financial institutions, and investors.

Qualifications

  • Minimum 7 years of experience in related fields (law firm background is a plus).
  • Bachelor's degree in Law required; advanced degree preferred.
  • Strong command of English and Indonesian, both written and spoken.
  • Proven experience managing and mentoring a small legal/corporate secretarial team (5 people).
  • Experienced in negotiating and communicating with external parties such as legal counsels, financial institutions, and investors.
  • Mature, proactive, detail-oriented, and able to work independently.
  • Strong interpersonal and stakeholder management skills.
