Job Description

PT Dian Swastatika Sentosa Tbk or its subsidiaries are looking for high potential candidates to be employed as Head of Corporate Legal Energy with the following details:

Requirements

  1. Minimum 10+ years of professional legal experience, with at least 5 years in the energy or renewable energy industry.
  2. Proven experience handling M&A transactions, including deal structuring, due diligence, drafting, negotiation, and closing.
  3. Strong background in legal operations, including contract lifecycle management, compliance frameworks, and governance processes.
  4. Deep understanding of regulatory requirements related to energy, power projects, and infrastructure.
  5. Experience interacting with government bodies and regulatory institutions.
  6. Strong ability to provide strategic legal counsel to senior leadership and cross-functional teams.
  7. Excellent drafting and negotiation skills in both Bahasa Indonesia and English.
  8. Ability to manage external counsels, control legal budgets, and optimize legal workflows.
  9. Strong leadership skills with experience managing a legal team.
  10. Ability to work in fast-paced, high-stakes environments with complex, multi-party transactions.

Job Descriptions:

  1. Lead and oversee all corporate legal matters, ensuring compliance with internal policies and external regulations within the energy sector.
  2. Drive and manage M&A processes, including due diligence, risk assessment, negotiation, and execution of transaction documents.
  3. Build, enhance, and oversee the company's legal operations, including contract management systems, compliance processes, reporting structure, and workflow efficiency.
  4. Provide strategic legal advice to the Board, C-Level, and senior management regarding projects, partnerships, investments, and risk mitigation.
  5. Review, draft, and negotiate commercial agreements, EPC contracts, PPA agreements, joint ventures, shareholder agreements, and financing documents.
  6. Ensure timely and effective handling of regulatory filings, permits, licensing, and corporate governance documentation.
  7. Monitor changes in laws and regulations impacting the energy industry and proactively advise the business.
  8. Manage relationships with external law firms and ensure effective cost control and quality oversight.
  9. Develop legal policies, SOPs, and frameworks to support business scalability and organizational growth.
  10. Lead, mentor, and develop the internal legal team to ensure high performance and readiness for complex transactions.
