Job Description

  • Responsible for the preparation and the execution of Corporate Action namely AGM/EGM, Capital Injection, Bonds Issuance;
  • Responsible for reporting to OJK, LPS, KSEI and other authorized parties, related to the management and corporate actions;
  • Responsible for preparing and coordinating the issuance of Annual Report, ensuring the adherence with the prevailing regulations, as well as submitting to the regulators;
  • Responsible for preparing GCG implementation reports and GCG Self-Assessment for section/factor related to BOC, BOD and BOC's Committees; Assisting the Independent Commissioners and BOC Committee (Audit Committee, and ICG Committee) in terms of arranging the meeting schedule and ensure that the Meeting fulfill the quorum for decision making; Drafting the MOM to be reviewed by respective presenters and committee members; ensuring that Independent Commissioners obtain the updated and adequate information regarding the condition and situation of the Bank;
  • Preparing the monthly reports to the Board of Commissioners which consist of information related to BOC, to be reviewed by the CST Head and Compliance, Legal & Corporate Secretary Director, and endorsed by President Director;
  • Assisting CST Head to prepare manual updates for BOD, BOC, BOC's Committees and Executive Committees in accordance with the prevailing regulations;
  • Assisting CST Head to review and update SOP in CST at least once a year or if necessary; Review deeds, agreements and other corporate legal documents to ensure that it is in accordance with prevailing regulations;
  • Provide advice and input to other units related to Bank's information, corporate governance, legal documentation, etc.;
  • Carrying out other tasks assigned by CST Head and Management.
