Role: Assistant Legal Manager, Indonesia (Based in the Bali Office)
We are seeking a commercially astute and proactive Assistant Legal Manager to support the organisation's legal, regulatory, compliance and corporate governance activities in Bali, Indonesia. Acting as a trusted legal partner to the business, the successful candidate will provide practical and risk-based legal advice, ensure adherence to applicable regulatory requirements, oversee corporate secretarial matters, and support a broad range of commercial transactions.
This role requires a hands-on legal professional with a strong understanding of Indonesian laws and regulations, excellent stakeholder management skills, and the ability to build effective working relationships across both local and international teams. The successful candidate will be comfortable operating in a dynamic and fast-paced environment, balancing legal risk management with commercial objectives.
Main Responsibilities:
Regulatory Compliance & Licensing
- Manage and coordinate the application, renewal, amendment and maintenance of business licenses, permits and regulatory registrations in Indonesia.
- Support and oversee licensing matters, including KBLI (Klasifikasi Baku Lapangan Usaha Indonesia) submissions and other regulatory filings.
- Monitor legal and regulatory developments and assist in assessing their impact on the business, providing practical recommendations where appropriate.
- Liaise with relevant government agencies and regulatory authorities, including OSS, AHU, BKPM, LKPM Reporting and other Indonesian authorities, to support regulatory compliance matters.
- Help ensure ongoing compliance with Indonesian corporate, investment and industry-specific regulations.
Corporate Governance & Company Secretarial
- Support the implementation and maintenance of corporate governance frameworks, policies and procedures.
- Manage company secretarial matters for Indonesian entities, including:
- Monitor and liaise with the appointed Company Secretary on statutory filings and maintenance of corporate records;
- Review and liaise with the appointed Company Secretary on board and shareholder resolutions;
- Preparation of Board Meeting Minutes;
- Liaise with the appointed Company Secretary on the preparation and filing of licensing documents (if any) with the relevant authorities.
- Assist in ensuring compliance with Indonesian Company Law (UU PT) and other applicable legislation.
- Coordinate with external company secretaries, notaries and legal advisers as required.
Commercial Contracts & Transactions
- Draft, review and negotiate a broad range of commercial agreements, including service agreements, supplier and vendor contracts, non-disclosure agreements, marketing agreements and business partnership arrangements.
- Provide commercially pragmatic and risk-based legal support to internal stakeholders.
- Support business projects, commercial transactions and strategic initiatives from a legal and compliance perspective.
- Assist with the review and negotiation of Concession Agreements, Franchise Agreements and/or Joint Venture Agreements, where applicable.
- Maintain contract templates and support the continuous improvement of contract management processes.
Legal Advisory & Stakeholder Management
- Provide day-to-day legal support and guidance to business functions on operational and commercial matters.
- Coordinate with external legal counsel on regulatory, corporate and dispute-related matters when required.
- Work closely with business, operational and regional stakeholders to deliver practical and commercially focused legal solutions.
- Support the implementation of compliance, corporate governance and risk management initiatives across the organisation.
- Build and maintain effective working relationships with internal and external stakeholders to support business objectives while mitigating legal and regulatory risk.
Person Specification:
Qualifications
- Bachelor's Degree in Law (S.H.) from a recognized Indonesian university.
- Qualified legal professional with approximately 4-5 years of post-qualification experience (PQE).
- Prior in-house legal experience in Indonesia, preferably within a multinational corporation, regulated industry, franchise business, or international organization.
Experience & Technical Expertise
- Strong knowledge of Indonesian company law (UU PT), investment regulations, and licensing frameworks.
- Demonstrated experience managing licensing and regulatory compliance matters, including KBLI-related submissions.
- Experience handling corporate secretarial and governance matters for Indonesian entities.
- Proven capability in drafting, reviewing, and negotiating commercial contracts.
- Experience with franchising, joint ventures, or corporate transactions would be advantageous.
- Familiarity with regulatory filings and interactions with OSS, AHU, BKPM, LKPM Reporting and other Indonesian authorities.
Language Skills
- Fluent in Bahasa Indonesia and English, both written and spoken.
- Ability to draft, review, and negotiate legal documents in both languages.
