The Senior Legal Manager is responsible for leading and managing the company's legal, corporate governance, regulatory compliance, contractual, and legal risk management functions.
This position serves as a strategic legal partner to the Board of Directors, management, and business units by providing practical legal advice, protecting the company's interests, and ensuring that all business activities are conducted in accordance with applicable laws, internal policies, and good corporate governance principles.
The role requires strong business acumen and a comprehensive understanding of business processes involving State-Owned Enterprises or Badan Usaha Milik Negara (BUMN), government institutions, private companies, strategic business partners, vendors, and clients.
The Senior Legal Manager is also expected to understand legal and regulatory aspects related to export and import activities, including commercial documentation, licensing, customs-related requirements, international trade arrangements, logistics agreements, and cross-border transactions.
What You Will Do
Legal Strategy and Advisory
- Develop and implement the company's legal strategy in alignment with business objectives and operational priorities.
- Provide strategic legal advice to the Board of Directors, management, and business units regarding commercial transactions, corporate actions, operational activities, partnerships, investments, and strategic projects.
- Translate legal and regulatory requirements into practical recommendations that can be implemented by the business.
- Identify legal implications arising from business decisions and recommend appropriate risk mitigation measures.
- Prepare legal opinions, legal memoranda, risk assessments, and management recommendations on complex legal matters.
- Act as the primary legal advisor for significant business negotiations and strategic decision-making processes.
Contract Drafting and Commercial Transactions
- Lead the drafting, review, negotiation, and management of commercial and corporate agreements.
- Review agreements including cooperation agreements, procurement contracts, service agreements, vendor contracts, client contracts, NDAs, MoUs, addendums, powers of attorney, distribution agreements, logistics agreements, and other legal documents.
- Ensure that contractual terms adequately protect the company's commercial, operational, financial, and legal interests.
- Establish and maintain standardized contract templates, contract review procedures, legal checklists, approval matrices, and contract management systems.
- Monitor contractual obligations, expiration dates, renewal requirements, performance commitments, and potential contractual risks.
- Support management and business teams during contract negotiations with clients, vendors, business partners, government institutions, BUMN, and private-sector companies.
Government, BUMN, and Private-Sector Business
- Provide legal support for business activities, tenders, procurement processes, partnerships, and commercial transactions involving BUMN, government institutions, regional government entities, and private companies.
- Review tender documents, procurement requirements, cooperation schemes, bidding documents, statements, guarantees, and other supporting legal documents.
- Ensure compliance with administrative, legal, contractual, and regulatory requirements applicable to government and BUMN projects.
- Advise internal stakeholders regarding legal risks associated with public-sector procurement, government contracts, strategic partnerships, and institutional cooperation.
- Coordinate with government institutions, regulators, BUMN representatives, notaries, legal consultants, and other relevant external stakeholders.
- Ensure that communication, documentation, negotiations, and contractual commitments with government and BUMN entities are handled professionally and in accordance with applicable governance standards.
- Support legal due diligence for prospective clients, partners, vendors, consortium members, and subcontractors.
Export, Import, and International Trade
- Provide legal advice related to the company's export and import activities.
- Review export-import agreements, purchase agreements, shipping documents, distribution agreements, logistics contracts, freight forwarding agreements, and customs-related documents.
- Ensure that export and import transactions comply with applicable licensing, customs, trade, product, documentation, and reporting requirements.
- Coordinate with internal teams, customs brokers, freight forwarders, logistics providers, vendors, and relevant government authorities.
- Identify and mitigate legal risks related to cross-border transactions, delivery terms, transfer of risk, insurance, payment arrangements, product documentation, and international commercial obligations.
- Support the preparation and review of documents required for international procurement, overseas purchases, exports, imports, and cross-border business activities.
- Monitor regulatory developments relevant to international trade, customs, import licensing, export restrictions, and commercial documentation.
Corporate Legal and Governance
- Lead the management of corporate legal documents, company deeds, licenses, shareholder documents, directors documents, resolutions, corporate approvals, and governance records.
- Ensure that corporate actions and management decisions are properly documented and supported by appropriate legal documentation.
- Coordinate with notaries and relevant institutions regarding amendments to company deeds, corporate approvals, licenses, and other corporate matters.
- Support the implementation of good corporate governance principles throughout the company.
- Prepare and maintain corporate policies, delegations of authority, legal procedures, and governance-related documentation.
- Monitor the validity, renewal, and completeness of company licenses and legal documents.
- Provide legal support for restructuring, investment, financing, establishment of new business entities, joint ventures, acquisitions, and other corporate transactions.
What We're Looking For
- Minimum Bachelor's Degree in Law from an accredited university.
- A Master's Degree in Law, Business Law, International Trade, or Management will be an advantage.
- Minimum 8 years of professional experience in corporate legal, commercial legal, compliance, contract management, law firm practice, or a related legal function.
- Minimum 3 years of experience in a managerial or legal leadership position.
- Proven experience handling commercial agreements, corporate matters, regulatory compliance, legal risk management, and dispute resolution.
- Strong understanding of business processes involving BUMN, government institutions, public-sector procurement, and private-sector companies.
- Experience reviewing tender documents, government contracts, procurement agreements, cooperation agreements, and strategic project documentation.
- Good understanding of export-import processes, customs-related documentation, logistics agreements, international trade transactions, and cross-border commercial arrangements.
- Strong knowledge of corporate law, contract law, commercial law, licensing, corporate governance, regulatory compliance, and legal risk management.
- Experienced in drafting, reviewing, and negotiating complex commercial and corporate agreements.
- Able to provide practical legal recommendations that balance legal protection with commercial objectives.
- Demonstrated ability to manage legal teams, external counsel, complex projects, and multiple priorities.
- Able to communicate professionally in Bahasa Indonesia and English, both written and spoken.
- Strong legal drafting skills in Bahasa Indonesia and English.
- High level of integrity, professional ethics, confidentiality, and accountability.
- Detail-oriented, organized, proactive, responsive, and able to work effectively under pressure.
- Comfortable working in a dynamic business environment that requires agility, sound judgment, and timely decision-making.
- Proficient in Microsoft Office, Google Workspace, contract management systems, and legal document management tools.
Preferred Qualifications
- Experience working in companies that regularly engage with BUMN, government institutions, multinational companies, logistics providers, or international suppliers.
- Experience in technology, telecommunications, data center, infrastructure, digital solutions, logistics, trading, manufacturing, or business services industries.
- Experience supporting tender processes, strategic procurement, public-private partnerships, consortium arrangements, or large-scale commercial projects.
- Experience handling importation of equipment, technology products, infrastructure components, machinery, or other commercial goods.
- Experience coordinating with government authorities, regulators, customs-related parties, notaries, and external legal consultants.
- Licensed advocate or member of a recognized legal professional association is an advantage.
