- Board support: comprehensive support to the BOD and BOC, including governance of BOD, BOC and Committee meetings changes to the BOD & BOC composition (support in FPT preparation) and ensuring compliance with governance, legal and listing obligations in relation to BOD, BOC and Committee matters and Commissioner ongoing obligations, including training requirements and annual effectiveness evaluations.
- Shareholder services: liaison with all shareholders, including with Group Company Secretary and representatives of minority shareholder and managing ongoing and one-off shareholder initiatives including the General Meeting of Shareholders (Circular Resolutions of Shareholders) and dividend payments.
- Governance and reporting: review of internal governance processes against changing trends and best practice, recommending changes where appropriate monitoring compliance with applicable rules and governance best practices and producing BOC Supervisory Reports, Annual GCG Report, Annual Report and Company Secretary Report.
- Other key accountabilities: Collaborate between Legal and Government Relations team members and other departments, providing assistance and providing necessary company information and documents to other team members/departments assistance with the review of TORs for BOD, BOC and committees, as well as annual review for SOPs managed by Company Secretary liaise with the Company's Notary regarding the preparation of company deeds, registration of beneficial owners, and engagement with relevant parties concerning training, seminars, and certification programs attended by BOC members and assist in any other projects or activities as required, including providing support to the Head of Company Secretary.
