Lead and manage corporate and commercial legal activities to support the Company's business operations, transactions, and strategic initiatives.
Provide strategic legal advice to Management and business units on corporate matters, commercial transactions, partnerships, procurement, sales, construction activities, and other business arrangements.
Review, draft, negotiate, and finalize commercial contracts, agreements, memoranda of understanding, and other corporate legal documents to protect the Company's interests.
Identify, assess, and mitigate legal and contractual risks arising from business transactions, commercial arrangements, partnerships, and corporate activities.
Conduct legal review and legal due diligence for strategic transactions, partnerships, corporate actions, investments, and other business initiatives.
Ensure contracts, commercial transactions, and corporate activities are conducted in accordance with applicable laws and regulations, Company policies, and contractual obligations.
Manage contractual claims, commercial disputes, and other legal matters, including coordination with external legal counsels and relevant stakeholders where required.
Develop and improve contract standards, legal documentation, legal guidelines, and preventive legal measures to strengthen legal protection and support effective business processes.
Support corporate actions, shareholder-related matters, and corporate transactions by preparing and reviewing the required legal documentation and providing legal recommendations.
Collaborate with business units and relevant functions to provide practical legal solutions that balance business objectives and legal risk considerations.
Monitor relevant legal and regulatory developments that may affect the Company's corporate and commercial activities and recommend appropriate actions.
Lead and develop the Corporate & Commercial Legal team to ensure effective, timely, and high-quality delivery of legal services.
Requirements
Minimum Bachelor's Degree in Law or other related fields.
Minimum 5–7 years of relevant experience in Corporate Legal, Commercial Legal, Contract Management, or other related fields.
Licensed Advocate is preferred; certifications in Legal, Compliance, Governance, or Risk Management are considered an advantage.
Possesses strong knowledge of Corporate Law and Commercial Law.
Demonstrates strong capabilities in Contract Drafting & Negotiation Management, Legal Advisory, Legal Due Diligence, and Contract Risk Management.
Experienced in Dispute Resolution, Regulatory Analysis, Legal Research, and Contract Lifecycle Management.
Demonstrates strong leadership, negotiation, analytical and critical thinking, problem-solving, stakeholder management, and decision-making capabilities.
Possesses strong communication, collaboration, and attention to detail.
