What You Will Experience:

  • Lead and support end-to-end merger and acquisition (M&A) transactions, from deal initiation through closing and post-completion activities.
  • Draft, review, and negotiate legal documents related to M&A transactions, including Non-Disclosure Agreements (NDAs), Engagement Letters, Non-Binding Offers (NBOs), Binding Offers (BOs), Sale and Purchase Agreements (SPAs), and other transaction documents.
  • Conduct legal due diligence (LDD) or review LDD reports prepared by external legal advisors, identify legal risks, and provide practical recommendations.
  • Coordinate with internal stakeholders and external advisors to ensure timely execution of M&A transactions and compliance with applicable laws and regulations.
  • Provide legal support for corporate projects and other strategic initiatives relevant to the Legal function.
  • Identify and mitigate legal risks throughout the transaction lifecycle while ensuring alignment with business objectives.

What is Required:

  • Bachelor's degree in Law; Master's degree is an advantage.
  • Minimum 10 years of experience in M&A, either in a reputable law firm or an in-house corporate legal function.
  • Strong experience handling end-to-end M&A transactions, including legal documentation, negotiations, and legal due diligence.
  • Excellent knowledge of Indonesian corporate and commercial laws; cross-border transaction experience is an advantage.
  • Strong analytical, negotiation, and stakeholder management skills.
  • Willing to travel as required for business needs.
  • Available to join within 1 month notice period or earlier.
