Job Description
Duties & Responsibilities
- Draft and/or review contracts/agreements (including, but not limited to, sale and purchase agreements, lease agreements, co-operation agreements, utility agreements, supply contracts and service level agreements) to identify legal risks in transactions/agreements and provide recommendations to assist the Board of Directors/Commissioners in making informed decisions taking into account the requirements of shareholders of the company
- Draft and/or review contracts/agreements with external parties and affiliated companies on an arms-length basis
- Advise on governmental licensing/permits/approvals of the business and as required, licensing arrangements of the company
- Participate in commercial negotiations and interface with external parties (such as customers, business partners, suppliers, contractors) as required
- Understand the Joint-Venture's commercial objectives and requirements (including compliance related requirements) of the shareholders of the company. To apply reasonable operational knowledge to identify and assess legal/compliance risks
- Keep abreast of prevailing and incoming laws and regulations and advise/ assist the Board of Directors/Commissioners to assess the impact of new/amended regulations on the business
- Liaise with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.
- To provide pre-litigation advice and, if required, to represent (or, if relevant, instruct and assist external counsel to represent) the Company in court, tribunal or legal proceedings if necessary
- Support the drafting and implementation of compliance/risk management policies (including anti-bribery/anti- corruption, anti-money laundering, data protection and trade economic sanctions) and perform active monitoring/reporting of such requirements
- Work closely with other departments to identify, mitigate and manage legal/compliance risks and uphold principles of good corporate governance
- Handling corporate secretariate matters for the company including overseeing and administering the Board of Commissioners and/or Board of Directors meetings, in accordance with the Company's Deed of Establishment and Internal Policies
- Draft and/or review estate regulation governing the use and operation of land and facilities within the industrial park and ensure compliance to applicable regulatory requirements and other legal frameworks governing estate management and operations.
Requirements
- Bachelor Degree in Laws (or equivalent) and admitted as a lawyer in Indonesia/qualified to practice Indonesian law.
- Minimum 6 years of relevant legal working experience, experience working in real estate industry or international/multi-national company would be an advantage
- Good command of English and Bahasa Indonesia (written and spoken)
- Good knowledge of commercial law especially land laws, investment and enterprise law, and permits/regulations related to industrial parks. Experience with Indonesian real estate and/or industrial park management will be a bonus.
- Proficiency in MS Office (Word, Excel, PPT)
- Possess utmost integrity and honesty, have a flair for legal work
- Able to thrive in a corporate start-up environment and be resourceful in tackling problems with no precedents or straightforward solutions
- Able to work with government agencies and regulatory bodies effectively
