The Legal Analyst will support a wide range of legal matters across investment transactions, portfolio governance, corporate actions, corporate secretarial work, and day-to-day institutional advisory. This role is well-suited for a corporate/M&A or investment-focused lawyer who wants to work closer to business decisions while building strong in-house legal experience within a sophisticated investment environment.
Job Description
- Support legal workstreams relating to investment transactions, business initiatives, portfolio monitoring, and corporate actions.
- Review, draft, and negotiate transaction-related legal documents, commercial agreements, NDAs, corporate documents, policies, and supporting legal materials.
- Assist with legal due diligence, transaction coordination, deal closing requirements, and post-transaction legal follow-up.
- Handle governance and corporate secretarial matters for subsidiaries or portfolio entities, including shareholder approvals, board-related matters, corporate resolutions, and amendments to constitutional documents.
- Coordinate with external counsel, notaries, regulators, and internal stakeholders on legal documentation and approval processes.
- Provide legal input to investment, finance, operations, and strategy teams on day-to-day corporate and commercial matters.
- Support financing, capital injection, restructuring, or other corporate exercises as required.
- Maintain proper legal documentation, internal records, and governance-related tracking for ongoing legal matters.
The Successful Applicant
- 3 to 6 years of legal experience, ideally gained from a reputable law firm, investment platform, financial institution, fund, or corporate legal team.
- Strong background in corporate transactions, M&A, venture capital, private equity, capital markets, funds, banking and finance, or corporate governance.
- Experience working on legal due diligence, transaction documents, shareholder matters, corporate approvals, and portfolio-related legal support.
- Familiar with Indonesian corporate law, corporate secretarial processes, and governance documentation.
- Prior exposure to investment funds, portfolio companies, subsidiaries, or institutional investors would be an advantage.
- Strong legal drafting, analytical thinking, and communication skills.
- Comfortable working with senior stakeholders and cross-functional teams.
- Fluent in English and Bahasa Indonesia.
- Detail-oriented, proactive, dependable, and able to manage multiple priorities with minimal supervision.
