Job Description

Responsibility:

  1. Lead and manage the company's legal function and oversee the legal team as a whole.
  2. Handle General Meetings of Shareholders (GMS), changes in corporate structure, and corporate actions.
  3. Ensure the implementation of Good Corporate Governance (GCG) and compliance with applicable laws and regulations.
  4. Draft, review, and negotiate commercial contracts, including IT services agreements, software licenses, NDAs, SLAs, and vendor agreements.
  5. Manage corporate legal matters (including: Deeds of establishment and amendments to Articles of Association. GMS, Board of Directors, and Board of Commissioners matters. Corporate actions such as M&A, joint ventures, restructuring, and spin-offs)
  6. Develop legal SOPs, contract templates, and internal legal policies.
  7. Manage compliance programs, including data protection, information security, and corporate governance.
  8. Establish KPIs and support competency development of the legal team.
  9. Manage corporate legal administration, licensing, and regulatory reporting.
  10. Handle litigation and dispute resolution at both national and international levels.
  11. Identify, analyze, and mitigate legal risks related to business activities.

Requirements:

  1. Bachelor's degree in Law (S1).
  2. Minimum 5 years of experience as a Corporate Legal Staff and at least 5 years as a Head of Legal.
  3. Proven experience in preparing IPO processes and corporate actions.
  4. PERADI certification is a plus.
  5. Experience handling IT-related businesses, particularly in data security and confidentiality, is a strong advantage.
  6. Strong leadership, decision-making, and stakeholder management skills.
  7. Experience in handling both national and international litigation matters.
  8. Excellent drafting, negotiation, analytical, and communication skills.
  9. Strong understanding of Indonesian Company Law (UU Perseroan Terbatas), OSS system, and relevant business licensing regulations.
  10. Willing to travel domestically and internationally for business purposes.
  11. Highly detail-oriented, especially in reviewing and drafting agreements and other legal documents related to business operations.
  12. Fluent in English, both written and spoken.
  13. Prior experience in the IT industry is a plus.
