Job Description

We are representing a leading Indonesian telecommunications company undergoing a major post-merger transformation, focused on strengthening governance, accelerating growth, and enhancing stakeholder trust. As part of this journey, we are seeking a senior Corporate Secretary who can operate at a strategic level, partnering closely with the Board of Directors and Commissioners to drive governance excellence and support key corporate initiatives.

This role requires a highly experienced professional with proven exposure in publicly listed (Tbk) companies, capable of leading the Corporate Secretary function independently while navigating complex stakeholder environments including regulators, shareholders, and executive leadership.

Key Responsibilities
  • Act as the primary liaison between Board of Directors, Board of Commissioners, shareholders, and regulators (OJK, IDX, KSEI)
  • Lead and manage all Corporate Secretary functions, including GMS/RUPS, board & committee meetings, disclosures, and statutory reporting
  • Ensure full compliance with capital market regulations and corporate governance standards
  • Oversee and drive corporate actions such as M&A, restructuring, fundraising, or strategic transactions (where applicable)
  • Provide strategic advisory to the Board on governance, regulatory, and corporate legal matters
  • Manage stakeholder communication, including investor relations, public disclosures, and external engagement
  • Strengthen and institutionalize governance frameworks and policies across the organization
  • Collaborate cross-functionally with Legal, Compliance, Finance, and Strategy teams to support business initiatives

Key Requirements
  • Minimum 12–15 years of experience, with significant tenure as Corporate Secretary in a Tbk/Public Listed company
  • Proven experience in BOD & BOC engagement, governance forums, and shareholder management
  • Strong exposure to capital markets, corporate actions, and regulatory compliance (OJK, IDX, KSEI)
  • Background in Corporate Law, Business Law, or related fields; legal qualification is highly preferred
  • Demonstrated ability to operate at L2 level (one level below BOD) with minimal supervision
  • Strong stakeholder management and communication skills, including regulators and institutional stakeholders
  • Experience in complex, multi-entity or post-merger environments is a strong advantage
