Role Summary:
The General Counsel is a leadership position, responsible for managing the provision of strategic, high-quality, and effective legal services. This role has a small team in each of the jurisdictions where the Company operates, but requires a hands-on, can-do approach to partner with and advise the BDx business and leadership across:
- Commercial and contract law: communications law, mergers and acquisitions, regulatory, dispute resolution, privacy, IT, procurement, intellectual property, and competition law.
- Compliance, risk management and corporate governance.
This role will act as a trusted advisor to the [CFO] and his direct reports and ensure that the Company operates in accordance with law, regulatory, policy, and the best interests of stakeholders including customers, investors and external parties.
Duties and Responsibilities:
- Manage the provision of legal services and deliver high quality, commercially focused, cost-effective, and independent legal services to BDx.
- Function as a proactive member of the Leadership Team, advise other team memberson business decisions from a legal perspective.
- Resolve legal issues relatingto BDx operations in multiple markets acrossthe Indonesia region, which may cover different aspects of commercial, regulatory, litigation, compliance, IP, and transactional matters.
- Lead all legal streams of work including regulatory review, structuring, due diligence and documentation for M&A and greenfield development opportunities across the Asia Pacific region
- Work with the BDx operating company legal teams on regionalstrategic matters.
- Put in place/monitor/supervise an effective compliance framework in conjunction with the finance team.
- Advise HR department and business team leaders on all kinds of employment related matters.
- Effectively develop& implement appropriate risk-mitigation strategies in relation to organization's business operations.
- Evaluate the impact of evolving legaland statutory regulations pertaining to the relevant business function and advising the management on the implications on the business.
- Maintain good standards of corporate governance, including ensuring compliance with applicable laws, consents, regulations, Companies policies and rules.

- Risk management: Maintain a comprehensive approach to risk, risk management, and compliance.
- Stakeholder Management: Build and maintain relationships of trust with key stakeholders.
- Operational leadership: lead and develop processes, systems to improve efficiency and quality of services; engage and manage external lawyers, as required.
- Execute resultsand help deliversustainable value to stakeholders.
Qualification and Experience
- Degree holder in Law or related disciplines.
- Admitted to practice law.
- Substantial experience (minimum [15] years) as a senior lawyer providing legal advice to leaders, executives and the board. This will be gained in an in-house legal team ideally in an IT, data center, telecommunications, or technology business Or in a leading firm practicing in these areas.
- Significant exposure to a wide range of law including commercial and contract law; company law, mergers and acquisitions; regulatory; dispute resolution; privacy; IT; procurement; intellectual property; anti-bribery; sanctions; and competition law.
- Substantial experience in operatingin multiple jurisdictions across the Asia Pacific region, ideally including Singapore, greater China area, Indonesia and other SEA countries.
- Strong stakeholder management skills and experience in building relationships of trust and influencing outcomes across a range of stakeholders.
- Business judgment with the ability to develop pragmatic solutions to challenging business issues. This includes confidence to constructively give full and frank advice with a focus on risk management (not risk minimization).
