We are looking for Corporate Secretary & Legal Department Head with requirements =
- Min. bachelor's degree in LAW.
- 10+ years of experience working as a Corporate Secretary & Legal preferred.
- having experience working in public listed company is a must.
- Strong knowledge of relevant corporate laws and regulations.
- Having experience in Law Firm combined with Corporation is a plus point.
- Having ability to manage complex projects and multi-task.
- Having ability to think strategically.
- Having ability to flourish with minimal guidance, be proactive, and handle uncertainty.
- Having a flexible approach to work with the ability to adapt to a fast-paced, ever-changing environment.
- Excellent written and verbal communication skills.
- Excellent presentation skills.
- Excellent organizational and interpersonal skills.
- Fluent in English.
- Willing to travel.
As a Corporate Secretary & Legal Department Head, you'll need to:
- Coordinates Commissioner, Board of Directors and shareholders meetings, included preparation and recording minutes of meeting.
- Responsible for preparing and reviewing of official correspondence.
- Responsible for issuing company's annual report, company articles, investor newsletter and press release.
- Ensure the management of external and internal communications strategies with all stakeholders to ensure an open and accountable dissemination of Company information while maintaining the Company's positive image.
- Assist the BOD and the BOC in the implementation of corporate governance and responsible for the Corporate Governance documentation.
- Ensure all corporate actions of the Company have fulfilled existing regulations, particularly capital market regulations and other rules and regulations with respect to the continuity of business and industry as well as the activities carried out by companies such as trade rules, intellectual property rights, licensing, etc.
- Provide inputs to the BOD and the BOC of the Company to comply with the capital market regulations issued by OJK, IDX, and other Capital Market Regulators.
- Responsible in maintaining and developing relationship with authorities (Bank Indonesia, Bapepam, OJK, Indonesia Stock Exchange, etc), press, institution and community.
- Review, draft, and negotiate key commercial contracts, including vendor agreements, MOUs, and SLAs.
- Provide legal opinions and strategic advice to the Board and management on corporate matters, risk mitigation, and compliance.
