Review and identify contract terms and conditions to ensure they align with legal risk appetite and commercial objectives
Draft, review, and negotiate various legal documents including agreements, internal memos, letters, NDAs, MOUs, partnership agreements, and other legal instruments
Support and oversee corporate legal matters such as mergers and acquisitions (M&A), loan agreements, and other corporate actions
Conduct legal due diligence for corporate transactions and provide legal risk assessments and recommendations
Ensure that contracts and corporate documents comply with applicable laws, regulations, company bylaws, and governance policies
Handle business licensing processes and manage updates to corporate legal documents (e.g., articles of association, permits, etc.)
Monitor and support corporate governance practices within contract and legal management frameworks
Assist in litigation matters, including preparation of supporting documents, coordination with external counsel, and case monitoring
Collaborate with internal stakeholders, including the corporate secretary and legal department, to provide legal advice, ensure compliance, and support organizational goals
Supervise the execution and fulfillment of contracts, ensuring adherence to timelines and contractual obligations
Requirements
Minimum 2 years of experience as a Corporate Legal Officer
Proven experience in handling corporate matters such as mergers & acquisitions (M&A), loans, and other corporate actions
Solid experience in conducting legal due diligence
Proficient in drafting and reviewing agreements, internal memos, letters, and other legal documents
Familiarity with business licensing processes and managing corporate legal documentation
Experience in supporting or handling litigation processes
