The Corporate Legal Associate will support the hotel group's corporate office by managing contract drafting and review, ensuring regulatory compliance, and handling corporate governance matters across all hotel units. This role provides legal advisory to internal stakeholders, assists with dispute resolution, and ensures all legal documentation, permits, and agreements are properly maintained. The position requires strong attention to detail, good communication skills, and the ability to work in a fast-paced, multi-property hospitality environment.
Contract Management & Drafting
- Draft, review, and negotiate various hotel-related agreements, including:
- Hotel Management Agreements (HMA)
- Vendor/service agreements (laundry, security, housekeeping, IT, engineering, marketing)
- Procurement contracts
- Lease and tenancy agreements
- Employment-related contracts
- Ensure all agreements comply with applicable laws and internal policies.
Compliance & Regulatory
- Ensure all hotel units comply with national and regional regulations as well as hospitality industry standards.
- Monitor hotel operational licenses and permits, such as:
- NIB, TDUP/TDUP-TL, SLF, PKKPR/IMB
- K3 certifications, HACCP, hygiene, and environmental permits
- Conduct periodic regulatory compliance audits in coordination with the operations team.
Corporate Governance
- Manage corporate documents (deeds, changes of directors/shareholders, domicile certificates, annual reports).
- Coordinate with notaries, regulators, and government bodies (OSS, AHU, BKPM, Manpower Office, etc.).
- Develop legal SOPs and compliance guidelines for all hotel units.
Litigation Support & Legal Dispute Handling
- Provide assistance in handling disputes involving:
- Guests or vendors
- Employment issues
- Insurance claims
- Prepare legal documents, chronology, and evidence for external counsel.
- Manage incoming and outgoing legal notices/demand letters.
Advisory & Risk Mitigation
- Provide legal advisory to Corporate Office, Hotel General Managers, and department heads (HR, Finance, Procurement, Operations).
- Analyze legal risks associated with operational policies and hotel development projects.
- Recommend mitigation strategies to minimize potential litigation and penalties.
Vendor & Third-Party Review
- Conduct legal due diligence on potential vendors or contractors.
- Review agreements related to procurement, construction, branding, digital marketing, and technology.
Internal Training & Awareness
- Develop training materials on:
- Basic hospitality law
- Business ethics & anti-bribery
- Contract awareness
- Legal compliance for GMs and HODs
- Deliver legal training regularly to hotel units.
Documentation & Filing
- Maintain a structured legal documentation system (physical and digital).
- Monitor the validity periods of contracts, certificates, and operational permits.
Qualifications
- Bachelor's Degree in Law (PERADI license or corporate law experience preferred).
- 24 years of experience in a law firm, corporate legal role, or hospitality industry.
- Strong knowledge of contract law, corporate law, employment regulations, property law, and licensing.
- Detail-oriented, able to multitask, and excellent communication skills.
- Familiar with OSS RBA, AHU Online, and government licensing systems.
