Job Description

Responsibilities

  • Manage day-to-day corporate governance matters for all entities within the group.
  • Prepare and review shareholders resolutions, board resolutions, powers of attorney, and other corporate documents.
  • Coordinate with notaries, regulators, and relevant government authorities.Ensure compliance with applicable corporate laws and regulations.
  • Maintain corporate records, statutory registers, and corporate documentation.
  • Lead and support corporate actions including: Share transfers;Capital increases and reductions;Changes to directors and commissioners;Amendments to articles of association;Establishment of subsidiaries;Mergers, acquisitions, divestments, and restructurings.Coordinate implementation of group restructuring initiatives.
  • Manage closing processes and post-closing legal actions.
  • Monitor and advise on regulatory developments affecting the business.
  • Manage licensing and permit applications, renewals, and compliance requirements.
  • Coordinate with business units to ensure ongoing regulatory compliance.
  • Support internal compliance reviews and regulatory audits.
  • Support mergers and acquisitions, investments, fundraising, IPO readiness initiatives, and other strategic transactions.
  • Conduct legal due diligence and assist in transaction execution.Coordinate external counsel and manage legal workstreams.
  • Review transaction documents and provide legal risk assessments.
  • Partner with Finance, Tax, Corporate Development, HR, Operations, and other business functions.
  • Provide practical and commercially focused legal advice.
  • Present legal issues and recommendations to management when required.Manage relationships with external counsel, notaries, regulators, and other third parties.
  • Identify and assess legal risks arising from corporate activities.
  • Develop mitigation strategies and practical solutions.
  • Assist in implementing legal governance and compliance frameworks.
  • Support internal audit and risk management initiatives.
  • Provide guidance and mentoring to junior legal team members.
  • Review work products prepared by legal executives and associates.
  • Assist the Head of Legal in developing legal processes, templates, and governance standards.

Requirements

  • Bachelor of Laws (S.H.) from a reputable university.
  • 5–7 years of post-qualification legal experience (4–6 years in a reputable law firm (Corporate/M&A, Capital Markets, or General Corporate) and has 1–3 years in-house in technology, e-commerce, FMCG, consumer, logistics, healthcare industries, or listed companies).
  • Having an exposure to corporate governance, M&A, restructuring, and regulatory matters is required.
  • Experience supporting IPO preparation, fundraising, or capital market transactions is a strong advantage.
  • Strong understanding of: Indonesian company law and corporate governance;Corporate secretarial matters;M&A and investment transactions;Corporate restructuring;Licensing and regulatory compliance;Legal due diligence;Contract drafting and negotiation.
  • Preferred familiarity with: OSS and licensing frameworks;Data privacy regulations;Public company governance requirements.
  • Soft SkillsStrong analytical and problem-solving skills.Able to work independently with minimal supervision.
  • Strong project management and stakeholder management capabilities.
  • Excellent written and verbal communication skills in Bahasa Indonesia and English.
  • Able to manage multiple projects and competing priorities.
  • Commercially minded and solution-oriented.
